1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Tradelytics, operated by Tradelytics LLC ("Tradelytics," "we," "us," or "our"), including our website at tradelytics.ai and our web application ("Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Tradelytics is a trading journal and performance analytics platform designed for individual traders. The Service allows users to:

• Log, track, and review trades across stocks, options, and futures
• Connect broker accounts for automatic trade synchronization (Pro plan)
• Upload brokerage statements for trade import
• Build and track trading plans and goals
• Access AI-powered trade analysis and coaching (Pro plan)
• Capture and manage trade ideas before execution (Premium and Pro plans)

Tradelytics is a journaling and analytics tool only. We are not a broker, investment advisor, or financial institution. Nothing in the Service constitutes financial, investment, or trading advice.

3. Account Registration

You must create an account to use the Service. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You may not share your account with others or transfer your account to another person. You must be at least 18 years old to create an account.

4. Subscription Plans and Billing

Tradelytics offers the following plans:

• Basic (Free): Stocks journaling, manual entry, statement upload, and trade plan builder. Free forever, no credit card required.
• Premium: Adds multi-asset support (stocks, options, futures), chart view, trade ideas, and coach collaboration. Billed monthly or annually.
• Pro: Adds custom fields, broker auto-sync, AI insights, and AI coach. Billed monthly or annually.

Paid plans are billed in advance on a recurring basis. Annual plans are billed once per year. You may cancel at any time — you retain access to paid features until the end of your current billing period, after which your account downgrades to the Free plan.

Prices are listed in USD and may change with 30 days' notice. We do not offer refunds for partial billing periods unless required by applicable law.

5. Broker Connections and Third-Party Data

The Pro plan includes broker auto-sync, which connects your Tradelytics account to supported brokerage accounts. By enabling this feature, you:

• Authorize Tradelytics to retrieve trade history and account data from your connected broker
• Acknowledge that this connection is read-only — Tradelytics cannot place trades or move funds on your behalf
• Agree to comply with your broker's terms of service regarding third-party connections
• Understand that broker data accuracy depends on your broker's systems, which are outside our control

You may disconnect a broker integration at any time from your account settings.

6. Your Data

You retain ownership of all trade data, journal entries, and content you submit to Tradelytics. By using the Service, you grant Tradelytics a limited license to store, process, and display your data solely to provide and improve the Service.

We do not sell your personal data or trade data to third parties. See our Privacy Policy for full details on how we collect and use your data.

You may export or delete your data at any time from your account settings. Upon account deletion, we will remove your personal data from our systems within 30 days, subject to legal retention requirements.

7. AI Features

Pro plan subscribers have access to AI-powered features including AI Insights and AI Coach. These features analyze your trade history to surface patterns and provide guidance. By using AI features, you acknowledge that:

• AI outputs are for informational and educational purposes only
• AI analysis does not constitute financial or investment advice
• AI models may occasionally produce inaccurate or incomplete analysis
• You are solely responsible for your trading decisions

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell or sublicense access to the Service without written permission
• Impersonate any person or entity

We reserve the right to suspend or terminate accounts that violate these terms without notice.

9. Intellectual Property

The Tradelytics name, logo, product design, and all content created by Tradelytics are owned by Tradelytics LLC and protected by intellectual property law. The "Tradelytics" name is a registered trademark of Tradelytics LLC.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial trading journal purposes. You may not reproduce, distribute, or create derivative works based on the Service.

10. No Financial Advice

Tradelytics is a journaling and analytics tool. The Service does not provide investment advice, financial planning services, or trading recommendations. Nothing in the Service should be construed as a recommendation to buy, sell, or hold any security or asset. Past trading performance reflected in your journal does not guarantee future results. You are solely responsible for your investment and trading decisions.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Tradelytics does not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Tradelytics LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if Tradelytics has been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Tradelytics in the twelve months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless Tradelytics LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Dispute Resolution and Arbitration

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Georgia. The arbitrator's decision shall be final and binding.

Class action waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration against Tradelytics.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of courts located in Georgia for any disputes not subject to arbitration.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
